Terms of Service

These Terms of Service (“Terms”) govern your use of the Johanna Growth website and, together with any signed proposal or statement of work, our provision of marketing and advertising services. By using this site or engaging us, you agree to these Terms.
1. Services
We provide marketing and advertising services which may include social media marketing, paid advertising management, search engine optimization and local search, branding and creative, content marketing, email marketing, and web design. The specific services, deliverables, timeline and fees for your engagement are defined in your written proposal or statement of work, which controls if it conflicts with these Terms.
2. Client responsibilities
- Provide accurate information, brand materials and timely approvals
- Grant the access needed to perform the work, through delegated account access
- Ensure you own or are licensed to use all materials you supply to us
- Comply with applicable advertising, privacy and industry regulations
- Respond to leads and inquiries generated by the work
Delays in approvals or access may shift timelines without reducing fees.
3. Fees, invoicing and payment
Monthly service fees are invoiced in advance and are due on receipt unless your proposal states otherwise. Project work is typically invoiced 50% at kickoff and 50% at delivery. Invoices unpaid after 15 days may incur a late fee of 1.5% per month, and we may pause work on accounts more than 30 days past due. All fees are in US dollars and exclusive of applicable taxes.
4. Advertising spend
Advertising budgets are separate from our management fees and are paid by you directly to the advertising platform using your own payment method. You are responsible for all media costs. Platforms may change pricing, policies or approval rules at any time, and we are not responsible for account suspensions caused by platform decisions or by content you direct us to publish.
5. Term, revisions and cancellation
Ongoing engagements begin with an initial 90-day term and continue month to month thereafter. Either party may cancel with 30 days’ written notice after the initial term. Project scopes include the number of revision rounds stated in the proposal; additional revisions or changes to an agreed scope are billed at our then-current hourly rate. 6. Intellectual property
Upon full payment, you own the final deliverables created specifically for you, including logos, campaign creative, copy and website files. We retain ownership of our pre-existing tools, templates, processes and know-how, and we may display non-confidential work in our portfolio unless you ask us in writing not to. Stock assets and fonts remain subject to their own licenses.
7. Confidentiality
Each party will protect the other’s non-public business information and use it only to perform under the engagement. This obligation survives termination.
8. No guarantee of results
Marketing outcomes depend on factors outside our control, including market conditions, competition, budget, offer quality and platform algorithms. We do not guarantee specific rankings, traffic, leads, sales or revenue. See our Disclaimer.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data. Our total aggregate liability arising out of or relating to the services is limited to the fees you paid us in the three months preceding the claim. Services are provided “as is” without warranties beyond those expressly stated here.
10. Indemnification
You agree to indemnify and hold harmless Johanna Growth and Johanna Katherin Velasquez from claims arising from materials or instructions you provide, your products or services, or your violation of law or third-party rights.
11. Website use
Content on this website is provided for general information. You may not copy, reproduce or redistribute it for commercial purposes, attempt to disrupt the site, or use it in violation of any law.
12. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania without regard to conflict-of-law rules. The parties will attempt to resolve disputes in good faith; unresolved disputes will be brought exclusively in the state or federal courts located in Centre County, Pennsylvania.
13. Changes to these Terms
We may update these Terms by posting a revised version on this page. Continued use of the site or services after changes take effect constitutes acceptance.
